Shire

In September 2010, Acceleron entered into a strategic collaboration with Shire plc for the joint development and commercialization of ACE-031 and related molecules for muscular and neuromuscular diseases with high unmet medical need. The collaboration will initially investigate ACE-031 for the treatment of patients with Duchenne Muscular Dystrophy (DMD). Shire will commercialize the products in territories outside North America. Acceleron retains all commercial rights in North America.

Under the terms of the agreement, Acceleron received an upfront cash payment of $45 million and is eligible to receive up to $453 million in milestone payments as well as royalties on Shire’s sale of products in its territory. Acceleron and Shire share will share development expenses in North America and Europe. Shire is responsible for all development expenses in the rest of the world. Shire and Acceleron will jointly collaborate on a worldwide development program to advance ACE-031 into a global Phase 2/3 clinical program designed to demonstrate disease modification in DMD patients. Shire will utilize its Lexington manufacturing facility to produce commercial supplies of the product for both parties
